2. SCOPE

These Terms & Conditions apply to purchases and other contractual relationships concluded through www.adwoatheresa.com.

Depending on the particular offering, this may include digital content, online programs, memberships and subscriptions, spoken works, sound works, private digital environments and other spiritual or contemplative offerings made available through this website.

Additional or specific conditions may apply to an individual offering. Where such conditions are presented before purchase, they take precedence for that particular offering.

3. NATURE OF THE OFFERINGS

The work presented through this website is spiritual, contemplative and creative in nature.

Spiritual perception, contemplative teachings, intuitive material, symbolic language and related spiritual material are offered within a spiritual context.

The offerings are not medical, psychological, psychotherapeutic, legal, tax, investment or financial services and are not intended to replace appropriately qualified professional services in those fields.

Individual perception and experience may differ.

No specific personal, relational, professional, financial, material, spiritual or external outcome is promised or guaranteed.

Customers remain responsible for their own choices, decisions and actions.

4. CONCLUSION OF CONTRACT

The presentation of offerings on this website does not itself constitute a legally binding offer.

By completing the applicable ordering process and submitting an order, the customer makes a binding offer to enter into the relevant contract.

For consumer transactions involving payment, the ordering process must clearly indicate the customer's obligation to pay before the order is submitted.

The contract is concluded when the order is accepted, for example through an order confirmation or by making the purchased digital content, membership, program or other agreed access available.

The contractual details and applicable information are provided electronically.

5. PRICES AND PAYMENT

The total price payable is displayed before the order is submitted.

Prices shown to consumers include statutory VAT where applicable.

The available payment methods are displayed during checkout.

Payment processing may be carried out through Wix and/or the payment service provider selected during checkout.

The relevant payment provider may process payment information in accordance with its own contractual and privacy provisions.

6. DIGITAL CONTENT AND ONLINE PROGRAMS

Purchased digital content and online programs are intended for the personal use of the customer unless expressly stated otherwise.

Access credentials, member accounts and purchased access may not be sold, transferred or shared with third parties.

Unless expressly authorised in writing, content may not be reproduced, republished, commercially distributed, resold, uploaded to another platform or otherwise commercially exploited.

The statutory rights of consumers concerning digital products and digital services remain unaffected.

7. ACCESS AND TECHNICAL REQUIREMENTS

Where an offering is supplied digitally, the customer is responsible for maintaining suitable internet access and a compatible device or browser necessary to access the offering.

Digital content or services are considered made available when the content, service or appropriate means of access has been provided or made accessible in accordance with the relevant contract.

Temporary interruptions may occur because of maintenance, security measures, platform services, internet infrastructure or other technical circumstances.

Mandatory statutory rights relating to the availability, conformity and updating of digital products remain unaffected.

8. INNER VAULT AND OTHER MEMBERSHIPS OR SUBSCRIPTIONS

Where the Inner Vault or another offering is made available through a paid membership or subscription, the applicable price, billing interval, contractual duration, renewal conditions and termination conditions are displayed before purchase.

Any automatic renewal applies only where this has been clearly disclosed before the contract is concluded.

The customer's statutory rights concerning termination, withdrawal and defective performance remain unaffected.

Access to the Inner Vault does not by itself create any entitlement to a Private Encounter, personal access, an invitation to The Gatherings or access to another separately offered environment.

9. PENUMBRATA AND THE LATTICE

Penumbrata and The Lattice are distinct digital environments forming part of the wider body of work associated with Adwoa Theresa.

References to Penumbrata or The Lattice on this website do not by themselves create a contractual entitlement to access, admission, a particular feature, permanent availability, future functionality or a particular development.

A contractual right of access arises only where access to the relevant environment has expressly been offered and agreed.

Where separate terms or privacy information are provided within Penumbrata or The Lattice, those provisions apply additionally to the respective environment.

10. PRIVATE INQUIRY AND PRIVATE ENCOUNTERS

Submitting a Private Inquiry does not itself create a contract.

An inquiry does not guarantee acceptance, availability, personal access or the conclusion of a private engagement.

A binding agreement for a Private Encounter or another individual offering arises only once the particular offering, scope, price and applicable conditions have been agreed or confirmed.

11. THE GATHERINGS

The Gatherings are intentionally limited private encounters and may be offered only on selected occasions and by invitation.

References to The Gatherings on this website do not constitute an offer to the general public and do not create an entitlement to invitation or participation.

Membership of the Inner Vault, participation in an online program, submission of a Private Inquiry or participation in another offering does not by itself guarantee invitation to The Gatherings.

12. RIGHT OF WITHDRAWAL

Consumers may have a statutory right of withdrawal in relation to distance contracts.

The applicable information concerning the right of withdrawal is provided separately on the Widerruf / Right of Withdrawal page.

Nothing in these Terms restricts a mandatory statutory right of withdrawal.

Where paid digital content not supplied on a tangible medium is made available before expiry of the statutory withdrawal period, the right of withdrawal may expire only where the statutory requirements have been fulfilled, including the consumer's express consent to early performance and acknowledgment of the resulting loss of the right of withdrawal.

Where a paid service begins during the withdrawal period at the consumer's express request, the statutory provisions concerning early performance, proportionate payment and expiry of the withdrawal right apply.

13. CANCELLATION OF RECURRING CONTRACTS

Recurring consumer contracts may be terminated in accordance with the contractual conditions displayed before purchase and applicable mandatory law.

Where German law requires an electronic cancellation function for a recurring consumer contract concluded online, the required cancellation facility will be made available.

Termination affects future contractual periods in accordance with the applicable contract and statutory law.

It does not restrict existing statutory claims or withdrawal rights.

14. INTELLECTUAL PROPERTY

Unless expressly stated otherwise, the original texts, concepts, spiritual writings, online-program materials, spoken works, recordings, sound works, music, visual material and other original content made available through this website remain protected by applicable intellectual-property law.

Names, titles and identifying elements associated with proprietary digital environments may also be legally protected.

Purchase, membership or access grants only the personal right of use associated with the relevant offering.

No intellectual-property rights are transferred to the customer.

15. CHANGES TO DIGITAL SERVICES

Digital services and environments may be developed or updated where permitted by the relevant contract and applicable law.

Changes will not be used to remove or materially reduce a paid contractual entitlement contrary to mandatory consumer law.

Where mandatory law requires advance information, continued access to an unchanged version or a right to terminate because of a change to a digital product, those statutory rights remain unaffected.

16. LIABILITY

Liability is unlimited where required by law, including in cases of intent or gross negligence, injury to life, limb or health, liability under mandatory product-liability provisions and liability arising from an expressly assumed guarantee.

In cases of slight negligence involving the breach of an essential contractual obligation, liability is limited to damage that was foreseeable and typical for the contract at the time the contract was concluded.

Essential contractual obligations are obligations whose fulfilment is necessary for proper performance of the contract and on whose fulfilment the contractual partner may regularly rely.

Any further limitation or exclusion of liability applies only to the extent permitted by mandatory law.

17. CONSUMER DISPUTE RESOLUTION

We are neither willing nor obliged to participate in dispute-resolution proceedings before a consumer arbitration board.

18. APPLICABLE LAW

German law applies, excluding the United Nations Convention on Contracts for the International Sale of Goods.

If the customer is a consumer habitually resident in another country, this choice of law does not deprive the customer of mandatory consumer-protection provisions that apply in the country of the customer's habitual residence.

19. FINAL PROVISIONS

Mandatory statutory rights remain unaffected by these Terms.

If an individual provision of these Terms is wholly or partially invalid or unenforceable, the validity of the remaining provisions is not affected. The applicable statutory provisions apply in place of any invalid or unenforceable provision.

The version of these Terms applicable to a transaction is the version made available when the relevant contract is concluded.
